Terms of Service

Welcome to Divzero ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI agent deployment platform, APIs, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use Divzero.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding legal agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

To access the Service, you must create an account using a valid email address or a supported OAuth provider (e.g., GitHub). You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.

3. Description of Service

Divzero provides a managed platform for deploying, hosting, monitoring, and scaling AI agents in containerized cloud environments. The Service includes, but is not limited to:

• Agent creation, configuration, and lifecycle management via a web dashboard and REST API.
• Containerized deployment to cloud infrastructure (currently AWS).
• Real-time log streaming, performance metrics, and health monitoring.
• Secure credential brokering and third-party integrations (Notion, Jira, Google Workspace, Slack, etc.).
• API key management following a Stripe-like key format for programmatic access.

Features may evolve over time. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. AI Agent Use & Acceptable Use Policy

You retain ownership of all agent configurations, data, and prompts ("Your Content") that you submit to the Service. You grant Divzero a limited license to host, process, and transmit Your Content solely for the purpose of operating the Service.

You agree not to use Divzero to:

• Deploy agents that generate or disseminate illegal, harmful, abusive, defamatory, or misleading content.
• Build agents designed to impersonate real individuals without their consent.
• Perform unauthorized vulnerability scanning, phishing, or other cyber-attacks through your agents.
• Circumvent the usage or safety policies of upstream AI model providers (e.g., Anthropic's Acceptable Use Policy).
• Exceed documented rate limits, or attempt to reverse-engineer, decompile, or extract source code from the Service.
• Re-sell or sublicense access to the Service without our prior written consent.

We reserve the right to review, suspend, or terminate any agent deployment that violates this policy, with or without notice.

5. Third-Party AI Models & Providers

Divzero integrates with third-party AI model providers such as Anthropic (Claude) and OpenRouter. Your use of these models through Divzero is additionally subject to their respective terms and acceptable use policies. Divzero is not responsible for the outputs generated by these models. You acknowledge that AI outputs may be inaccurate, incomplete, or biased, and you are solely responsible for reviewing and validating any content produced by your agents.

6. Fees, Billing & Subscriptions

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you authorize Divzero to charge the applicable fees to your payment method via our payment processor (Stripe). Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

• AI Credits: Usage of AI inference (tokens consumed by your agents) is tracked and billed according to your plan. Credit balances and usage details are visible in your dashboard.
• Refunds: Payments are generally non-refundable unless required by applicable law. Contact support@divzero.one within 14 days of a charge for billing disputes.

7. Data Retention & Deletion

Agent logs and metrics are retained according to your plan tier. Upon account termination, we will delete your data within 30 days unless we are required to retain it by law. You may request earlier deletion by contacting support.

8. Intellectual Property

All rights, title, and interest in the Divzero platform, including its software, branding, documentation, and proprietary technology, remain with Divzero. Nothing in these Terms transfers any intellectual property rights to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during the term of your subscription.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIVZERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DIVZERO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY SPECIFIC PURPOSE.

11. Indemnification

You agree to indemnify and hold harmless Divzero, its officers, directors, employees, and agents from any claims, losses, or damages (including attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) content generated by your deployed AI agents.

12. Termination

Either party may terminate your account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and your deployed agents will be stopped. Provisions that by their nature should survive termination (e.g., limitation of liability, indemnification) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by an arbitration association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you via email or through the Service at least 30 days before the updated Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
